Affiliate Agreement

This is a contract between you (the „Affiliate“) and us, Nifty Software e.U. („Placid“). It outlines how we will work together. Please read it carefully so it’s clear to both of us what we’re expecting from each other.

By signing up to our Affiliate Program, you agree with these terms.

We will periodically update these terms, and we might choose to replace them in their entirety in the future – e.g. if our Affiliate Program changes, ends or gets merged with other programs. If we update or replace the terms, we will let you know and you’re free to terminate the agreement if you don’t agree to the update or replacement.

We try to make the terms as readable as possible for you. If you have any questions or problems, please do reach out to ​armin@placid.app​ any time. We want to make this work for both of us.

Overview:

• 20% recurring commission for your attributed referrals, including reactivations, upgrades etc.
• 60 days cookie duration
• Monthly payout for commissions > USD 100

Application, approval and rejection

The participation in our Affiliate Program is possible only after personal registration with us. A contract comes into effect as soon as Placid accepts your registration.

We reserve the right to approve or reject any application for our Affiliate Program in our sole discretion. This means you are not entitled to participate and will have no legal recourse against us for the rejection of your application.

Commissions Payout

You will receive recurring commissions of 20% for active subscriptions of qualified referrals to Placid. Your commission is calculated from the price of the recurring sale less fees and taxes.

The percentage of your commission may change at any time, but we will notify you of any changes that have an impact on your commission payouts.

Commissions will be paid once a month via Paypal. Your total commission amount must equal or exceed hundred US Dollars ($100) before receiving a payment from Placid. If your total commissions for a given month are less than $100, payment will be held until the total commissions equal or exceed $100.

To receive payments, you will be expected to create and maintain an account with our partner Tapfiliate.

You are responsible for paying all applicable fees associated with accepting payments, including but not limited to currency conversion fees, transaction fees, withdrawal fees, deposit fees and check cashing fees. You are responsible for any and all tax liabilities including, without limitation, income tax liabilities, that arise from or in any way relate to any commissions paid out to you by Placid.

Qualified referrals

To count as a qualified referral, the referred customer must fulfill the following requirements:

• They are not one of our pre-existing customers, meaning they had no user account prior to being referred to us by you.
• The referred customer’s subscription must remain active for at least 37 days (= 1 month plus the 7 day trial period).
• The payment transaction has been completed successfully. This means that transactions that result in chargebacks or refunds for any reason will not be paid out.
• The terms of this agreement have not been breached to generate the referral (like e.g. through marketing activities prohibited by this agreement)

All referred users that create an account with us will be attributed to you. If they decide to subscribe or resubscribe at a later point in time, you will still get your commission as long as their subscription is active.

Self-referrals

You can not refer yourself, and you will not receive a commission on your own account. This applies if you share the same personal or company details as your referred customer, including but not limited to last name, email address, IP address, website details or commission payment details. We will determine the classification of any referral as „Self-referral“ at our sole discretion.

Marketing

You are responsible for any and all costs and expenses related to marketing and promoting Placid and / or our Affiliate Program. Placid is not obligated to reimburse or credit you for any marketing expenses.

Prohibited marketing activities

We may terminate your participation in the program for, including, but not limited to the following reasons:

• Inappropriate advertisements (misleading links, false claims, etc.)
• Spamming (mass emails, mass posting to online platforms, etc.) or engaging in any marketing or promotional activities that violate applicable laws, rules or regulations
• Violation of intellectual property rights, e.g. by creating websites or ads that copy, imitate or resemble the look and feel of Placid’s services. Affiliates should not copy Placid’s website or any portions thereof without prior written consent.
• Offering rebates, coupons or any other form of promised kick-backs from your affiliate commission as an incentive.
• Generating traffic by including, but not limited to pay to click, pay to read, banner exchanges, click exchanges, cost-per-view advertising, pop-up/under, purchased traffic or similar methods without prior written consent from Placid.
• Bidding on or using Placid’s company name, product names or misspelled keywords for the purpose of pay-per-click on search engines.
• Using any of our company, product names or misspelled keywords as, or as part of domains, subdomains or social media handles (e.g. @placid-coupons, placid-coupons.com).
• Using redirected pages and links to send a potential customer to Placid’s website.
• Domain-forwarding (purchasing a domain and setting it to forward directly to Placid’s website using an affiliate link).
• Engaging in any marketing activity that may harm the reputation or credibility of Placid, such as advertising on any website that promotes violence, discrimination based on race, sex, religion, nationality, disability, (mental) health, sexual orientation or age, or any illegal activities or violates the intellectual property or other rights of a third party.
• Using malware or spyware to market or promote Placid.
• Self-referrals, fraudulent transactions or suspected affiliate fraud.

Coupons and deals

Placid may offer coupons to select affiliates. If you’re not pre-approved or assigned a branded coupon, then you’re not allowed to promote the coupon. Below are the terms that apply for any affiliate who is considering the promotion of our products in relation to a deal or coupon:

• Affiliates may not use text, buttons or images that imply anything besides the authorized deals for the specific affiliate.
• Affiliates may not bid on phrases like „Placid coupons“ or „Placid discounts“ that imply that coupons are available.
• The users must be able to see the coupon or deal information before your affiliate cookie is set, and must express explicit interest in the deal by clicking on a clearly marked link, image or button. Phrases like „Click here to see coupons and open the Placid website“ are not allowed. You may not not use any cookie stuffing techniques.
• You may not use phrases like „Click to see Deal“ when there are currently no deals available.

Any violation against the terms above can lead to the termination from our affiliate program.

Affiliate links

A customer will be attributed as your referral, when they visit our site by using your unique affiliate tracking links that we will provide you with. Use them to place them on your site or promote through other channels.

Your affiliate link will set a tracking cookie that will be valid for 60 days.

Termination

You may terminate your participation in the Affiliate Program at any time, and discontinue your participation by removing your affiliate links from your website. We will keep your personal information for accounting purposes, conforming to applicable tax laws. You will not receive commissions earned after the date of termination.

We reserve our right to suspend or terminate your participation in our Affiliate program at any time, with or without a cause, and without warning or notice. We may also terminate your account if it has been inactive for 12 consecutive months.

If you have breached our Terms of Use or these Terms of Service or engage in any conduct we deem to be illegal, improper, unfair or otherwise detrimental to Placid, we reserve our right to terminate your participation and / or not pay out the accrued balance.

Liability

We will not be liable for indirect or accidental damages like the loss of revenue or commissions due to affiliate tracking failures, loss of database files or any results of intents of harm to our Affiliate Program and/or our website or service.

We do not make any expressed or implied warranties with respect to the Program. We make no claim that the operation of the program and/or our website and service will be error-free, and we will not be liable for any interruptions or errors.

Indemnification

You agree to indemnify, defend, and hold harmless Placid, its present and future officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the sites from and against all claims, losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these terms by you or arising from or related to your use or misuse of the Affiliate Program.

Term of the agreement

The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated.

Governing Law

The agreement shall be subject to the laws of Austria excluding the UN Convention on Contracts for the International Sale of Goods.

Severability Clause

Should a provision of these conditions be or become void, this shall not affect the validity of the other conditions and of the agreement.
